Richard J. Bronstein

Co-chair of the Tax Department, Rick Bronstein is a nationally recognized tax advisor who focuses primarily on the representation of private investment funds and their portfolio companies. He has had extensive experience with the representation of private equity and hedge fund clients in domestic and international mergers and acquisitions transactions, fund formation and capital markets matters. Rick has also handled numerous secured financing transactions, as well as federal and New York tax audit and tax controversy matters.

Experience

In recent years, Rick has represented numerous domestic and offshore investment funds in connection with organizational matters and also on a transactional basis. The corporate transactions in which he has been significantly involved have related to companies and investors in the United States as well as Canada, England, India, Japan, Luxembourg, Netherlands, Spain, Switzerland and numerous other countries.

Rick has represented issuers and underwriters in numerous secured financing transactions. On a regular basis, he represents taxpayers in disputes with the Internal Revenue Service and local tax authorities, and he has litigated cases in the United States Tax Court and elsewhere. Representative clients include General Atlantic LLC, C-I Capital, Avenue Capital Group, Oaktree Capital Management, and Continental Grain Company.

Rick is recognized as a leading tax lawyer in the United States by Chambers USA, The Legal 500 and The Best Lawyers in America. In Chambers USA: America's Leading Business Lawyers, Rick was described as "highly intelligent, great with clients and always providing excellent practical judgment" and as "one of the smartest tax lawyers I've met, and an excellent business lawyer and adviser." Rick served as articles editor of the University of Chicago Law Review. He is a member of the Tax Section of the New York State Bar Association and is also a member of the Practising Law Institute's Tax Law Advisory Committee.
