NEW YORK – February 14, 2013 Troutman Sanders continued the expansion of its Lending and Structured Finance practice, announcing today that it has added a three-member team to its New York office.

Joining Troutman Sanders are partners Jeffrey M. Rosenthal and Thomas P. Duignan, and associate Nneoma A. Maduike.

The trio brings to Troutman Sanders decades of experience in areas including asset-based and commercial lending, structured finance, workouts, distressed debt and DIP lending. They join Troutman Sanders from Greenberg Traurig.

“This group is an important addition to our New York office and our Lending and Structured Finance practice because they provide additional depth to our asset-based lending capabilities in New York, the Mid-Atlantic and Atlanta,” said Richard M. Pollak, a partner and leader of the firm’s Lending and Structured Finance practice group.  “In addition, they enhance our ability to represent secured creditors and debtors in distressed debt situations, including workouts, bankruptcy and debtor in possession loans.”

The group’s arrival also pushes the number of lawyers to more than 90 in the firm’s New York office, which was established in 2005.

Rosenthal, who is a Certified Public Accountant, as well as a lawyer, advises clients, both lenders and borrowers, in the structuring, negotiation and documentation of sophisticated loan transactions, workouts of existing loans, DIP loans, and buying and selling of distressed debt. His clients have included major commercial banks and many finance companies active in the commercial finance industry throughout the United States and in cross-border transactions. He has represented buyers of distressed debt in a number of transactions with the successful results of the buyer taking control of and turning around the borrower.

Rosenthal is the current Campaign Chair for the Commercial Finance Association’s Education Foundation, a Fellow of the American College of Commercial Finance Lawyers and is active in many professional and charitable organizations. In each year since 2007, Rosenthal has been listed as one of the Best Lawyers in America® for banking and finance law, corporate law and securitization and structured finance law. He also was ranked among the nation’s top lawyers by Chambers USA in 2010.

Rosenthal received a bachelor’s degree and MBA from the University of Pittsburgh, and a law degree from Rutgers-School of Law.

Duignan focuses his practice on asset-based lending, commercial lending, vendor and equipment finance, and on representing buyers and sellers of financial assets. He has wide-ranging experience with syndicated and single-lender transactions, multicurrency transactions, cross border transactions, letters of credit, and intercreditor arrangements. His clients typically include banks, finance companies and hedge funds.

A Certified Public Accountant and former in-house counsel at Siemens Corporation, Duignan has received numerous legal industry honors. He was a member of this year’s top-ranked team in U.S. News - Best Lawyers “Law Firm of the Year” in Bankruptcy & Creditor Debtor Rights/Insolvency & Reorganization Law and Litigation, and was selected this year as one of the Best Lawyers in America®.

Duignan holds a bachelor’s of science degree in accounting from Farleigh Dickinson University and a law degree from Widener University. He is a board member of the Association of Commercial Finance Attorneys and a member of the Commercial Finance Association, the American College of Commercial Finance Attorneys and the Turnaround Management Association.

Maduike focuses her practice on the representation of lenders and borrowers in various asset-based lending and commercial lending transactions, including secured and unsecured lending transactions, and revolving and term loan facilities. In addition, she has wide-ranging corporate experience and represents a variety of clients in corporate transactions, including mergers and stock and asset acquisitions, as well as providing general corporate counseling.

She received her bachelor’s degree from Rutgers University and her law degree from Northeastern University.
